CWILL Feature Specific Terms

These CWILL Feature Specific Terms form part of the CWILL Terms of Service ("Terms" or "Terms of Service"). Capitalized terms used but not defined in these Terms Feature Specific Terms have the meaning given to them in the Terms of Service.

In the event of any conflict or inconsistency between these Feature-Specific Terms and the CWILL General Terms, the CWILL General Terms shall prevail.

1. DEFINITIONS

When used in the Terms with the initial letters capitalized, in addition to terms defined elsewhere in the Terms, the following terms shall have the following meanings. The definition of each Feature here below shall also include the relevant portions of the Site, Software, API and Documentation.

1.1"Tracking Data" means any and all data related to the order tracking, returns, and shipping protection services namely: tracking_number, carrier, name, email, phone, country, shipping_address, products, and Shopify or WooCommerce order info.
1.2 "SEO Data" means any data related to the SEO performance and optimization of a Store, including but not limited to: store name,store domain,Product information (such as product title,description,price,images,vendor,product type,collections,tags,metadata),Collection information (such as collection title,description,images,collection type,metadata),Blog,page content (including page,article content,titles,images,metadata),Keywords,keyword rankings,Traffic,analytics data (including Google Search Console data,where the merchant has authorized such access),Redirect information (such as 404 errors,resolution actions),Backlink information (such as referring domains,domain rating,backlink counts),SEO settings (such as structured data,noindex/nofollow tags),Other optimization-related data processed or generated through the Service,including AI analysis results,AI-generated content.SEO Data primarily consists of Store-level,content-level,or aggregated technical,performance information,does not intentionally include Personal Data relating to identifiable individuals.
1.3 "Reviews Data" means any data related to product reviews and user interactions including namely but not exclusively review ID, product ID, product name, review content, review rating, review date, reviewer name, reviewer email, reviewer profile, reviewer purchase status, review status, reply content, reply date, review images, review videos, helpful votes, notification content, notification preferences, submission method, store name, store website, and user engagement metrics.
1.4 "Loyalty Data" means any data collected, stored, or processed by the app in connection with a merchant's loyalty program, including customer identifiers (such as first and last name, email), loyalty program IDs, date of birth if provided, IP address, account creation date, transactional data (orders, points, rewards), program participation, referral activity, and loyalty preferences.
1.5 "Chat Data" means any data related to customer interactions and AI-driven support, including but not limited to chat transcripts, message history, customer contact details (names, emails, phone numbers), order-related information (tracking numbers and fulfillment status), store policy data used for AI training, AI-generated responses, user feedback, and chat engagement analytics processed or generated through the Service.
1.6 "Email Data" means any and all data related to email marketing activities and interactions, including but not limited to email template content (subject line, body text, images, links), recipient information (name, email address, contact details), email send/ delivery/ open/ click metrics, bounce/ unsubscribe data, campaign performance analytics (conversion rates, engagement time), audience segmentation tags, A/B test results, and email preference settings (frequency, content type) processed or generated through the Service
2. FEATURE SPECIFIC TERMS

CWILL may collect and process different categories of data, and only to the extent necessary to provide the applicable Services you choose to use, including:

(a) Tracking Data when you use ParcelWILL;

(b) SEO Data when you use SEOWILL;

(c) Review Data when you use TrustWILL Review;

(c) Loyalty Data when you use TrustWILL Loyalty;

(d) Chat Data when you use ChatWILL;

(e) Email Data when you use SendWILL.

2.1 ParcelWILL – Order Tracking,Return and Shipping Protection

In addition to the CWILL General Terms, if you use any order tracking, return, shipment visibility, or shipping protection services made available through ParcelWILL, the following terms apply.

2.1.1 Purpose and Scope

ParcelWILL provides technical services that enable Merchants to display order-related and shipment tracking information, delivery status updates, and related logistics insights to End-Users based on data provided by Merchants and third-party shipping providers.

ParcelWILL may also provide optional shipping protection–related functionality that facilitates access to third-party insurance services. ParcelWILL is intended to support post-purchase logistics visibility and customer communication and does not control or operate shipping, delivery, or insurance services.

2.1.2 Roles of the Parties

With respect to any Personal Data processed through ParcelWILL, including order information, shipment identifiers, tracking events, delivery status, and related metadata, the Merchant acts as the data controller, and CWILL acts solely as a data processor, processing such Personal Data on behalf of and in accordance with the Merchant's instructions (and, where applicable, the Shopify or Woocommerce platform), and in compliance with applicable data protection laws.

ParcelWILL does not independently determine the purposes or means of processing such Personal Data and does not use such data for its own independent purposes.

2.1.3 Order Tracking and Shipping Providers

ParcelWILL DOES NOT PROVIDE SHIPPING OR DELIVERY SERVICES.

You and the Shipping Provider are responsible for any shipment. Your use of Shipping Provider is subject to, and You are responsible for compliance with, all applicable terms and conditions of the relevant Shipping Provider. Please also refer to the applicable shipping restrictions for more information about what You are and are not permitted to ship through the applicable Shipping Provider. By using Third Party Shipping Services, You are responsible for compliance with all applicable laws, regulations, and third party rights. In addition, it is Your responsibility to alert the Shipping Provider of any and all shipments within highly regulated (national, federal, state or local) industries, including, without limitation, the labelling of dangerous goods and hazardous materials. Where User's goods in the shipments are designated as "hazardous materials" or otherwise require compliance with additional shipping regulations (such as "restricted matter" or "perishable matter") (together, "Regulated Goods"), User will (a) immediately notify Shipping Provider of the presence of such Regulated Goods and (b) clearly identify the Regulated Goods with clear labels with an ongoing duty to imminently alert the Shipping Provider of any changes or additions to said Regulated Goods.

2.1.4 Shipping Protection Services

ParcelWILL DOES NOT PROVIDE INSURANCE SERVICES.

ParcelWILL Shipping Protection is provided in partnership with Seel, Inc. ("Seel"), a third-party Insurance Provider that offers coverage against package loss, damage, theft, or delay during transit. Claims are filed through the Seel Resolution Center, accessible via the ParcelWILL services. ParcelWILL acts solely as a service platform to provide relevant information connection and technical redirection services, and is not a party to the insurance contract. ParcelWILL shall not assume any direct or indirect guarantee, compensation or joint liability for the content, quality, claim settlement standards, review results, compensation timeliness of the insurance services provided by Seel, nor for any performance defects thereof.

  1. Third-Party Terms and Compliance. You acknowledge and agree to be bound by Seel's Terms of Service, which are incorporated by reference and govern the Shipping Protection service. You are responsible for compliance with all applicable terms, conditions, laws, regulations, and third party rights related to Seel's insurance services. Please refer to Seel's policy terms for coverage limitations and exclusions.
  2. Service Termination. If ParcelWILL's agreement with Seel terminates, the Shipping Protection service will automatically and immediately terminate, with pending claims processed according to then-effective terms.
2.1.5 Merchant Responsibilities

You represent and warrant that you have obtained all necessary rights, consents, notices, and other lawful bases required under applicable laws to provide order-related and shipment data to CWILL and to authorize CWILL to process such data on your behalf through ParcelWILL.

You are solely responsible for:

  • The accuracy, legality, and completeness of order and shipment data submitted to ParcelWILL;
  • Ensuring compliance with applicable consumer protection, logistics, export control, and data protection laws;
  • Configuring ParcelWILL features in a manner consistent with your legal and contractual obligations to End-Users.
2.1.6 Service Suspension or Termination

If CWILL's agreement with Seel terminates for any reason, any shipping protection functionality provided through ParcelWILL will automatically terminate. Any pending insurance claims will be processed by Seel in accordance with the policy terms in effect at the time the claim was submitted.

2.2 TrustWILL – Reviews and Loyalty Services

In addition to the CWILL General Terms, if you use the reviews, ratings, or loyalty-related services made available through TrustWILL, the following terms apply.

2.2.1 Purpose and Scope

TrustWILL enables Merchants to collect, display, and manage customer reviews, ratings, and loyalty or rewards-related interactions for the purpose of supporting customer engagement, feedback collection, reputation management, and loyalty programs operated by the Merchant.

2.2.2 Roles of the Parties

With respect to any Personal Data of customers, reviewers, or end-users processed through TrustWILL, the Merchant acts as the data controller within the meaning of applicable data protection laws, and CWILL acts solely as a data processor, processing such Personal Data on behalf of and in accordance with the Merchant's instructions (and, where applicable, the Shopify platform), and in compliance with applicable data protection laws.

CWILL does not independently determine the purposes or means of processing such Personal Data and does not use such data for any independent purposes.

2.2.3 Merchant Responsibilities

You represent and warrant that you have obtained and will maintain all necessary rights, consents, notices, and other lawful bases required under applicable laws to collect, use, display, and process reviews, ratings, and loyalty-related data through TrustWILL.

You are solely responsible for:

• The content, accuracy, moderation, and legality of all reviews, ratings, loyalty benefits, rewards rules, and related communications;

• Ensuring that any Personal Data included in reviews or loyalty interactions is collected and processed in compliance with applicable consumer protection, advertising, and data protection laws.

2.2.4 Public Display of Reviews

You acknowledge that reviews and ratings submitted by End-Users may be publicly displayed on your store or other channels as configured by you. You are responsible for ensuring that such public display complies with applicable laws, including consumer protection, advertising, and data protection requirements.

2.2.5 Processing Authorization

You hereby authorize CWILL to process Personal Data contained in reviews, ratings, and loyalty interactions solely for the purpose of providing the TrustWILL Services, in accordance with these Terms, the CWILL Privacy Policy, and, where applicable, the CWILL Data Processing Addendum, and not for any independent or incompatible purpose.

2.2.6 No Independent Profiling or Marketing Use

TrustWILL is not intended to perform individual-level profiling of End-Users for CWILL's independent marketing purposes. Any loyalty segmentation, rewards logic, or targeting is configured and controlled solely by the Merchant.

2.3 SENDWILL - EMAIL MARKETING SERVICE.

If you access or use any email marketing functionality provided through SendWILL in connection with the Services, the following terms apply.

2.3.1 Role of the Parties.

You acknowledge and agree that, with respect to any email marketing or promotional communications sent using the Services, you act as the data controller, and CWILL acts solely as a data processor, processing such Personal Data on behalf of and in accordance with the Merchant's instructions (and, where applicable, the Shopify platform), and in compliance with applicable data protection laws.

CWILL does not independently determine the purposes or means of processing such Personal Data and does not use such data for any independent purposes.

2.3.2 Merchant Responsibilities.

You represent and warrant that you have obtained and will maintain all necessary rights, permissions, consents, and other lawful bases required under applicable laws to send marketing or promotional communications to End-Users using the Services, including compliance with applicable anti-spam, marketing, and data protection laws (such as GDPR, ePrivacy, CAN-SPAM, and similar regulations).

You are solely responsible for the content, timing, recipients, and legality of all email communications sent through the Services.

2.3.3 Opt-Out and Compliance Mechanisms.

The Services may provide technical features to support unsubscribe or opt-out mechanisms. You are responsible for ensuring that such mechanisms are properly configured, honored, and used in accordance with applicable laws. CWILL does not independently determine the recipients or purposes of any marketing communications.

2.3.4 No Independent Marketing by CWILL.

CWILL does not use End-User email addresses or other Personal Data processed through SendWILL for its own marketing or promotional purposes, and does not initiate marketing communications to End-Users except as expressly instructed by you.

2.3.5 Suspension or Termination.

CWILL reserves the right to suspend or terminate your access to SendWILL or the email marketing functionality if your use of the Services is reasonably determined to violate applicable laws, third-party rights, or these Terms.

2.4 CHATWILL - AI-POWERED CHAT SERVICE.

If you use AI-powered chat or customer support functionality made available through ChatWILL , the following terms apply.

2.4.1 Purpose and Scope.

ChatWILL uses artificial intelligence and automation technologies to process chat messages and conversation content submitted by End-Users for the purpose of assisting Merchants in providing customer support services. ChatWILL is intended to support, supplement, or automate customer service interactions on behalf of the Merchant.

2.4.2 Roles of the Parties.

With respect to any Personal Data contained in chat messages or conversation content, the Merchant acts as the data controller, and CWILL acts solely as a data processor, processing such Personal Data on the Merchant's behalf and in accordance with the Merchant's instructions (and, where applicable, the Shopify platform), and in compliance with applicable data protection laws.

CWILL does not independently determine the purposes or means of processing chat data and does not use such data for its own independent purposes.

2.4.3 Merchant Responsibilities.

You represent and warrant that you have provided all required notices to, and obtained all necessary rights, consents, or other lawful bases from, End-Users to process chat content using ChatWILL, including the use of automated or AI-assisted tools, as required under applicable laws.

You are solely responsible for the content, accuracy, and appropriateness of customer support responses delivered to End-Users through ChatWILL.

2.4.4 AI Limitations and Human Oversight.

ChatWILL may generate automated responses based on chat inputs. Such responses are generated algorithmically and may not always be accurate, complete, or appropriate. You acknowledge that ChatWILL is not intended to provide legal, financial, medical, or other professional advice.

2.4.5 No Independent Profiling or Automated Decision-Making.

ChatWILL is not designed to perform automated decision-making or profiling that produces legal or similarly significant effects on End-Users within the meaning of applicable data protection laws, unless expressly enabled by the Merchant.

2.4.6 Data Use Restrictions.

CWILL does not use Personal Data processed through ChatWILL to train generalized AI models or for its own marketing purposes, except to the extent necessary to provide and improve the Services in accordance with applicable law and the Privacy Policy.

2.5 SEOWILL – SEO and Analytics Services

In addition to the CWILL General Terms, if you use any search engine optimization, analytics, or website performance-related services made available through SEOWILL, the following terms apply.

2.5.1 Purpose and Scope

SEOWILL provides tools and features designed to assist Merchants in analyzing and improving website visibility, search engine performance, content optimization, and related metrics. Such services may include keyword analysis, page performance insights, traffic analytics, and SEO recommendations.

SEOWILL is intended to provide informational and analytical support only and does not guarantee any specific search ranking, traffic volume, or business outcome.

2.5.2 Roles of the Parties

With respect to any Personal Data processed through SEOWILL, the Merchant acts as the data controller, and CWILL acts solely as a data processor, processing such Personal Data on behalf of and in accordance with the Merchant's instructions (and, where applicable, the Shopify platform), and in compliance with applicable data protection laws.

CWILL does not independently determine the purposes or means of processing such data and does not use such data for its own independent marketing purposes.

2.5.3 Data Categories

SEOWILL may process the following categories of data, to the extent necessary to provide the Services:

  • Website URLs, page metadata, and content-related information;
  • Aggregated or pseudonymized analytics data relating to site performance;
  • Device, browser, or usage-related technical data;
  • Search performance metrics and keyword-related data.

SEOWILL is not intended to collect or process sensitive personal data, and Merchants should not configure or use the Services to submit such data.

2.5.4 Merchant Responsibilities

You represent and warrant that you have obtained all necessary rights, permissions, and lawful bases to provide any data processed through SEOWILL and that such processing complies with applicable laws.

You are solely responsible for:

  • The accuracy and legality of any content, URLs, or data analyzed through SEOWILL;
  • Ensuring compliance with applicable data protection, consumer protection, and website disclosure requirements;
  • Implementing appropriate notices or disclosures on your website where required by law.
2.5.5 No Independent Decision-Making or Profiling

SEOWILL does not perform automated decision-making or individual-level profiling that produces legal or similarly significant effects on End-Users within the meaning of applicable data protection laws.

Any insights, recommendations, or analytics outputs generated by SEOWILL are provided for informational purposes only and remain under the Merchant's control and discretion.

2.5.6 Third-Party Integrations

SEOWILL may interoperate with or rely on third-party tools, platforms, or data sources (such as search engines or analytics providers) to deliver certain features. Your use of such third-party services is subject to their respective terms and policies, and you are responsible for compliance with applicable third-party requirements.

2.5.7 No Warranty of Results

CWILL makes no representations or warranties regarding the effectiveness, accuracy, or outcomes of any SEO recommendations, analytics insights, or performance metrics provided through SEOWILL.
